By accessing or using the website and services provided by Sympl One, LLC ("Sympl," "we," "us," or "our") (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Services.

Sympl provides software tools for the built environment, including Sympl · CMMS (maintenance management), Sympl · Signal (pre-bid construction intelligence), and Sympl · Project (construction project management). The Services are provided "as is" and are subject to change without notice.

3. User Accounts

Certain features may require registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete information.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose
  • Attempt to gain unauthorized access to our systems or data
  • Interfere with or disrupt the integrity or performance of the Services
  • Reproduce, redistribute, or resell the Services without authorization
  • Use automated means to scrape or collect data from the Services

5. Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, software, and data — are owned by Sympl or its licensors and are protected by intellectual property laws.

6. Data and Public Information

Where our Services aggregate publicly available information (including Sympl · Signal), we do not guarantee the accuracy, completeness, or timeliness of any data presented. Users should independently verify information before making business decisions.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYMPL ONE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES.

You agree to indemnify and hold harmless Sympl and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.
